1. Agreement to Terms

By accessing or using Phindr ("the Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

Phindr is a wedding photographer matching platform that connects couples planning weddings with professional wedding photographers.

2. Eligibility

You must be at least 18 years old to use Phindr. By using the Platform, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws

3. User Accounts

Account Creation

To use Phindr, you must create an account as either:

• Couple: Individuals planning a wedding and seeking a photographer
• Photographer: Professional wedding photographers offering their services

Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate, current, and complete information
• Updating your information to keep it accurate and current
• Notifying us immediately of any unauthorized use of your account

4. How Phindr Works

For Couples

• Browse photographer portfolios anonymously
• "Like" photographers whose work appeals to you
• Photographers review your wedding details (date, location, budget, type)
• When a photographer accepts, a "match" is created
• Contact details are exchanged to facilitate direct communication

For Photographers

• Create a portfolio showcasing your work (up to 12 images)
• Receive notifications when couples like your work
• Review couple's wedding details before accepting or declining
• Suggest alternative rates (counter offers) if budget is a concern
• When you accept, a "match" is created and contact details are shared

5. Photographer Subscriptions

Photographers must maintain an active subscription to use the Platform. Subscription fees, billing cycles, and cancellation policies will be provided during the signup process.

• Subscriptions are billed in advance
• You may cancel your subscription at any time
• Upon cancellation, access continues until the end of the current billing period
• No refunds are provided for partial billing periods
• We reserve the right to change subscription fees with 30 days' notice

6. User Content

Your Content

You retain ownership of all content you upload to Phindr, including portfolio images, profile information, and messages. By uploading content, you grant Phindr a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content solely for the purpose of operating and promoting the Platform.

Content Standards

You agree that all content you post will:

• Be accurate and not misleading
• Not infringe on any third party's intellectual property rights
• Not contain offensive, abusive, or discriminatory material
• Not contain spam, advertising, or promotional material (except in your photographer profile)
• Comply with all applicable laws and regulations

Photographer Portfolio Requirements

• Images must be your own work or properly licensed
• Images must be appropriate and professional
• Images must accurately represent your photography style and quality
• You must have all necessary rights and permissions for uploaded images

7. Fair Use Policy

Phindr is committed to providing a fair, transparent platform with no favorites or pay-to-play advantages. We implement the following principles:

• Photographer portfolios are shown to couples in randomized order
• No photographer receives preferential placement or visibility
• All photographers on the same subscription level receive equal treatment
• Matching is based purely on couple preferences and photographer acceptance

8. Prohibited Conduct

You agree not to:

• Use the Platform for any illegal purpose
• Impersonate another person or entity
• Harass, abuse, or harm other users
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Scrape, data mine, or collect user information without permission
• Interfere with or disrupt the Platform's operation
• Create multiple accounts to circumvent Platform rules
• Use the Platform to compete with or replicate Phindr's services

9. Matches and Communication

Phindr facilitates introductions between couples and photographers but is not a party to any agreement between users. Once matched:

• All negotiations, contracts, and transactions occur directly between the couple and photographer
• Phindr is not responsible for the quality of services provided by photographers
• Phindr is not liable for any disputes, damages, or losses arising from matches
• You are responsible for conducting your own due diligence before hiring a photographer
• Payment for photography services occurs outside the Platform (except subscription fees)

10. Intellectual Property

The Phindr Platform, including its design, features, functionality, and content (excluding user-generated content), is owned by Phindr and protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works of the Platform without our express written permission.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

• The Platform will be uninterrupted, secure, or error-free
• Any matches will result in successful bookings
• User-provided information is accurate or reliable
• Photographers listed on the Platform are qualified or suitable
• The Platform will meet your specific requirements

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHINDR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid to Phindr in the 12 months preceding the claim (or £100 if you haven't paid us anything).

13. Indemnification

You agree to indemnify and hold harmless Phindr, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Content you upload to the Platform

14. Termination

We may suspend or terminate your account at any time, with or without cause or notice, including if:

• You violate these Terms
• Your conduct harms or could harm other users or Phindr
• You engage in fraudulent or illegal activity
• Your subscription payment fails

Upon termination, your right to use the Platform will immediately cease. We may delete your account and content.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on the Platform
• Updating the "Last updated" date
• Sending an email notification (for material changes)

Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating any legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at hello@phindr.io.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Phindr regarding your use of the Platform and supersede all prior agreements.
